These Terms of Service ("Terms") constitute a legally binding agreement between you ("User") and Phineas J Holdings LLC ("Phineas," "we," "us," or "our"), governing your access to and use of the Phineas platform available at askphineas.com (the "Service").
By creating an account, subscribing to a plan, or otherwise accessing the Service, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.
Phineas is a behavioral intelligence platform designed to help managers document observable workplace behaviors, identify patterns over time, generate behavioral assessments, and maintain structured case records. The Service uses artificial intelligence to assist with observation translation, pattern detection, and report generation.
Phineas is intended for use by managers in professional workplace settings. It is not a human resources information system, a legal documentation tool, or a platform for storing protected health information.
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you have the legal capacity to enter into a binding agreement and that your use of the Service complies with all applicable laws and regulations.
The Service is intended for use by individuals acting in a professional managerial capacity. By using the Service, you represent that you are authorized by your employer or organization to use a third-party platform for the purpose of documenting workplace observations.
To access the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to maintain account security.
One account is permitted per individual manager. Team plan accounts may include up to the number of managers permitted under the applicable plan tier.
5.1 Plans
Phineas offers subscription plans as described on the pricing page at askphineas.com. Plan features and pricing are subject to change with reasonable notice to existing subscribers.
5.2 Free Trial
New subscribers receive a 14-day free trial. No payment is required during the trial period. Your subscription will automatically convert to a paid subscription at the end of the trial unless you cancel before the trial ends.
5.3 Billing
Subscriptions are billed monthly in advance. All fees are in US dollars. Payment is processed through Stripe. By subscribing, you authorize Phineas to charge your payment method on a recurring basis until you cancel.
5.4 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial billing periods, except where required by applicable law.
5.5 Failed Payments
If a payment fails, we may suspend your access to the Service until payment is resolved. We will notify you of failed payments using the email address associated with your account.
6.1 Compliance with Employment Law
You are solely responsible for ensuring that your use of Phineas complies with all applicable federal, state, and local employment laws and regulations, including but not limited to laws governing employee monitoring, documentation, privacy, and non-discrimination. Phineas does not provide legal, HR, or compliance advice. Nothing in the Service constitutes a recommendation to take any particular employment action.
You are responsible for ensuring your use of the Service is consistent with your employer's policies and any applicable collective bargaining agreements or contractual obligations.
6.2 Observable Behavior Only
The Service is designed for the documentation of observable workplace behaviors. You agree to use the Service only to document specific, factual, observable behaviors and not to record protected characteristics, personal health information, or content that would constitute unlawful discrimination or harassment.
6.3 Prohibited Uses
You agree not to use the Service to: (a) violate any applicable law or regulation; (b) document information protected by applicable privacy laws without lawful basis; (c) harass, discriminate against, or retaliate against any individual; (d) upload malicious code or interfere with the operation of the Service; (e) attempt to gain unauthorized access to any part of the Service or its infrastructure; or (f) resell, sublicense, or otherwise make the Service available to third parties outside the scope of your subscription.
7.1 Your Data
You retain ownership of all content and data you input into the Service ("Your Data"). By using the Service, you grant Phineas a limited license to process Your Data solely for the purpose of providing the Service to you.
7.2 AI Processing
The Service uses Anthropic's Claude API to process observation text for translation, pattern detection, and report generation. By using the Service, you acknowledge that observation text is transmitted to Anthropic for processing in accordance with Anthropic's privacy policy. Phineas does not control Anthropic's data handling practices.
7.3 Privacy Policy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
7.4 Data Isolation
Your data is scoped to your individual account. Other users of the Service cannot access your observations, cases, or team member records. On Team plans, account owners and admins can view the list of managers in their account but cannot access any manager's operational data.
The Service, including its software, design, trademarks, and content, is owned by Phineas J Holdings LLC and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your active subscription.
You may not copy, modify, distribute, sell, or create derivative works based on the Service or any part of it without our prior written consent.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Phineas does not warrant that the Service will be uninterrupted, error-free, or completely secure. AI-generated content within the Service is provided for informational purposes only and does not constitute legal, HR, or professional advice.
You acknowledge that employment decisions are your sole responsibility and that no output from the Service should be relied upon as the sole basis for any employment action without independent review.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PHINEAS J HOLDINGS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE TOTAL AMOUNT PAID BY YOU TO PHINEAS IN THE TWELVE MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Phineas J Holdings LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; or (d) any employment action you take based on content generated by the Service.
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Wyoming. You consent to the personal jurisdiction of such courts and waive any objection to venue in those courts.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms at askphineas.com/terms and updating the effective date. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.
We reserve the right to suspend or terminate your account at our sole discretion if you violate these Terms or engage in conduct that we determine to be harmful to other users, third parties, or the integrity of the Service.
Upon termination, your right to access the Service ceases immediately. Provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — shall survive.
